Terms of Collaboration

These Terms of Collaboration ("Terms") govern your participation as a collaborator ("Collaborator") with XPartner ("Company"). By collaborating with us, you agree to these Terms.

Eligibility

To collaborate with XPartner, you must:

• Be at least 18 years of age
• Have an active social media presence with genuine engagement
• Create content that aligns with XPartner's values and mission
• Maintain a positive online reputation

Collaboration Types

Collaborations may include but are not limited to:

• Social media content creation and promotion
• Brand awareness campaigns
• Content co-creation and cross-promotion
• Community engagement activities

Content Standards

All content created as part of this collaboration must:

• Be original and created specifically for this collaboration
• Align with XPartner's brand values and messaging
• Be appropriate for all audiences
• Comply with all applicable laws and platform guidelines
• Include proper disclosure as required by FTC guidelines

Content Approval

XPartner reserves the right to review and request modifications to any content before publication. Collaborators must submit content for review at least 48 hours before planned publication.

Collaborator Content

Collaborators retain ownership of their original content. However, by collaborating with XPartner, you grant us a perpetual, worldwide, royalty-free license to use, reproduce, and display the content across our platforms and marketing materials.

XPartner IP

Collaborators may use XPartner's logos, brand assets, and other intellectual property only as explicitly permitted in writing. All usage must comply with brand guidelines provided by XPartner.

Content Removal

Collaborators may not remove collaborative content for the duration agreed upon in the collaboration agreement, typically 6-12 months from publication date.

Non-Monetary Compensation

As a startup, XPartner offers non-monetary compensation including:

• Premium subscription access with 20 profile views per month
• Exclusive collaborator gifts and rewards
• Official XPartner collaborator badge
• Cross-promotion on XPartner platforms
• Performance analytics and insights

Gift Distribution

Gifts and rewards are distributed based on content performance, engagement metrics, and overall impact. XPartner reserves the right to determine gift eligibility and distribution.

Badge Grant

XPartner may grant eligible collaborators an official "Verified Wellness Collaborator" badge for use across digital platforms.

Permitted Usage

The collaborator badge may be used in:

• Instagram bio and profile
• Creator portfolio and media kits
• Professional profiles and resumes
• Press materials and PR displays
• WhatsApp/Telegram professional profiles

Usage Restrictions

The badge may not be:

• Modified or altered in any way
• Used to endorse third-party products without approval
• Used in a manner that suggests XPartner endorsement of unrelated content
• Transferred or sold to other parties

Collaborators agree to maintain the confidentiality of any proprietary information shared by XPartner, including:

• Business strategies and plans
• User data and analytics
• Upcoming features or campaigns
• Financial information
• Other non-public information

This confidentiality obligation continues for 2 years after the collaboration ends.

Termination Rights

Either party may terminate this collaboration with 14 days written notice. XPartner may terminate immediately for:

• Violation of these Terms
• Engagement in illegal or unethical activities
• Damage to XPartner's reputation
• Failure to meet collaboration requirements

Post-Termination

Upon termination, collaborators must:

• Remove the XPartner collaborator badge from all platforms
• Cease identifying as an XPartner collaborator
• Return any confidential information
• Honor confidentiality obligations

Disclaimer

XPartner makes no warranties about the success or outcomes of any collaboration. Collaborators participate at their own risk.

Limitation of Liability

XPartner shall not be liable for any indirect, incidental, or consequential damages arising from this collaboration.

Indemnification

Collaborators agree to indemnify and hold harmless XPartner from any claims arising from their content or actions during the collaboration.

Governing Law

These Terms are governed by the laws of the jurisdiction where XPartner is established. Any disputes shall be resolved through arbitration.
